1. Acceptance of Terms

By accessing and using the services provided by Axiom Dev ("Company", "we", "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Description

Axiom Dev provides AI engineering, software development, system integration, UX/UI design, and technology consulting services. The specific scope, deliverables, and timelines for each project are defined in individual service agreements between the Company and the client.

3. Intellectual Property

All intellectual property rights related to services, including but not limited to source code, designs, documentation, and methodologies developed by Axiom Dev, remain the property of Axiom Dev until full payment is received. Upon complete payment, ownership of project-specific deliverables transfers to the client as outlined in the service agreement. General-purpose tools, libraries, and frameworks developed by Axiom Dev remain our property.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation persists even after the termination of the business relationship. Neither party shall disclose confidential information to third parties without prior written consent.

5. Payment Terms

Payment terms are defined in the individual service agreement for each project. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may incur interest at the applicable legal rate. Axiom Dev reserves the right to suspend services in case of outstanding payments.

6. Limitation of Liability

Axiom Dev shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim. We do not guarantee uninterrupted or error-free operation of delivered software.

7. Warranties

Axiom Dev warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after delivery during which we will correct any defects at no additional cost. Beyond this period, maintenance and support are subject to separate agreements.

8. Termination

Either party may terminate the service agreement with 30 days' written notice. In case of material breach by either party, the non-breaching party may terminate immediately upon written notice. Upon termination, the client shall pay for all services rendered up to the termination date.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Italy.

10. Modifications

Axiom Dev reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. Continued use of our services after modifications constitutes acceptance of the updated terms.
